These Terms of Use (“Terms”) govern your use of the Sharkforce websites, applications, APIs, and related services provided by Sharkforce Inc. (“Sharkforce,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
Eligibility and Authority
You must be legally able to enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and references to you include that organization.
Accounts and Security
You must provide accurate information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach.
Acceptable Use
You may not use the Service to break the law, infringe rights, upload malicious code, bypass security, abuse APIs, scrape or reverse engineer the Service except as allowed by law, or interfere with other users or the Service.
Customer Responsibilities
You are responsible for your content, configurations, user permissions, workplace policies, and compliance with employment, privacy, biometric, surveillance, labor, and electronic messaging laws that apply to your use of the Service. If you enable location tracking, facial recognition, or other verification features, you are responsible for providing legally required notices, obtaining legally required consents, honoring applicable withdrawal rights, and maintaining a lawful basis for processing.
Fees and Plans
Paid features may be governed by an order form, checkout flow, or plan page. Unless otherwise stated, fees are exclusive of taxes, non-refundable except as required by law or a written refund policy, and due according to the applicable billing terms. We may change pricing prospectively.
Service Changes and Availability
We may update, improve, suspend, or discontinue parts of the Service from time to time. We work to keep the Service available, but we do not promise uninterrupted or error-free operation.
Customer Data
You retain ownership of the data and content you submit to the Service. You grant Sharkforce Inc. a non-exclusive, worldwide license to host, copy, transmit, process, display, and otherwise use that data as needed to provide, secure, support, and improve the Service, consistent with our Privacy Policy and any written agreement with you.
AI, Verification, and Automated Features
Some features use automated systems, AI, facial recognition, location verification, or scoring. Those outputs help with workflows and decision support, but they are not guaranteed to be error-free or appropriate for every context. You are responsible for human review where legally required or operationally appropriate.
Third-Party Services and Intellectual Property
The Service may interoperate with third-party products or rely on third-party service providers. Your use of third-party products may be subject to separate terms, and Sharkforce is not responsible for third-party products you choose to use. Sharkforce and its software, design, documentation, and other materials are owned by Sharkforce Inc. or its licensors and protected by applicable intellectual property laws.
Suspension and Termination
We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, or if we are required to do so by law. You may stop using the Service at any time. Upon termination, rights to use the Service end, but provisions that by nature should survive will survive.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." Sharkforce disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes or limits any warranty, condition, representation, or right that cannot be excluded or limited under applicable law.
Limitation of Liability
To the maximum extent permitted by law, Sharkforce will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. To the maximum extent permitted by law, Sharkforce's total liability arising out of or related to the Service or these Terms will not exceed the amounts you paid Sharkforce for the Service giving rise to the claim during the 12 months before the event that gave rise to the claim, or $100 if you paid nothing. These limits do not apply to liability that cannot be limited by law.
Indemnification
You will indemnify and hold harmless Sharkforce, its affiliates, and their personnel from third-party claims arising from your content, your unlawful use of the Service, your breach of these Terms, or your failure to provide legally required notices or obtain legally required consents for your use of workforce, location, or biometric features.
Governing Law, Changes, and Contact
Unless a separate written agreement says otherwise, these Terms are governed by the laws of Ontario, Canada, excluding conflict-of-law rules. Courts located in Toronto, Ontario will have exclusive jurisdiction, except to the extent non-waivable law requires a different forum. We may update these Terms from time to time by posting the revised version and updating the "Last updated" date. Questions may be sent to [email protected].
